Terms of Use
These Terms of Use ("Terms") govern your access to and use of the website, applications, products and online services (collectively, the "Services") operated by Open Standard LLC ("Open Standard", "we", "us" or "our"). By accessing or using the Services you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 13 years old (or the age of digital consent in your jurisdiction) to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate information and promptly notify us of any unauthorized use of your account.
3. Acceptable use
You agree not to:
- use the Services in any way that violates applicable law or regulation;
- infringe the intellectual property or other rights of any person;
- upload or transmit malicious code, or interfere with the security or integrity of the Services;
- attempt to gain unauthorized access to any part of the Services or related systems;
- scrape, harvest or collect data from the Services except as expressly permitted;
- use the Services to send unsolicited communications; or
- reverse engineer, decompile or disassemble any part of the Services except to the extent permitted by law.
4. Intellectual property
The Services and all content, features and functionality contained in them are owned by Open Standard or its licensors and are protected by copyright, trademark and other intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose.
5. User content
You retain ownership of content you submit to the Services. By submitting content you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce and display that content solely as necessary to provide and improve the Services. You represent that you have all rights necessary to grant this license.
6. Purchases and subscriptions
Some Services may be offered for a fee. Prices, billing periods and refund terms are stated at the point of purchase. Purchases made through third-party app stores are subject to those stores' terms and refund policies.
7. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or if required by law. You may stop using the Services at any time. Sections that by their nature should survive termination will survive.
8. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OPEN STANDARD AND ITS MEMBERS, MANAGERS, EMPLOYEES AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR ONE HUNDRED US DOLLARS (US$100).
10. Indemnification
You agree to indemnify and hold harmless Open Standard and its affiliates from any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of your use of the Services or your violation of these Terms.
11. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts. Nothing in this section limits any mandatory consumer-protection rights you may have under the laws of your country of residence.
12. Changes to these Terms
We may revise these Terms from time to time. The revised Terms will be posted on this page with an updated "Last updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
